Terms of Service

The Terms of Service (these "Terms" or the "Agreement") apply to the Intuition web application and any content, smart contracts, tools, features, and functionality offered on or through the application (collectively the "Service") and are entered into by and between you as the user of the Service ("you," "your," or the "User") and Intuition Systems, Inc. ("we," "our," "us," "Intuition," or the "Company").

These Terms govern your access to and use of the Service, which uses a suite of experimental blockchain-oriented functionalities. Using these functionalities poses significant risks to you and your online assets. Please read these Terms carefully, as they contain very important information regarding these risks and your rights and obligations, as well as conditions, limitations, and exclusions that might apply to you. By accessing and/or using the Service, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Service.

ARBITRATION AND CLASS ACTION WAIVER

Section 14 contains an arbitration clause and class action waiver. By agreeing to these Terms, you agree (a) to resolve all disputes with us (with limited exception) related to the Service through binding individual arbitration, which means that you waive any right to have those disputes decided by a judge or jury, and (b) to waive your right to participate in class actions, class arbitrations, or representative actions, as set forth below.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service. Your use of the Service constitutes your acknowledgment that it incorporates experimental blockchain technology, that on-chain interactions carry financial risk, and that all on-chain transactions are final and irreversible.

2. Description of Service

Intuition is a decentralized knowledge graph protocol that enables users to create, attest to, and economically signal around structured knowledge on-chain. The Service operates on the Base Layer 2 blockchain and provides an interface for interacting with the Intuition protocol, which consists of three core primitives:

  • Atoms — Entities such as people, concepts, organizations, URLs, or any identifiable subject that can be referenced within the knowledge graph.
  • Triples — Semantic relationships between atoms expressed as subject-predicate-object assertions (e.g., "Alice is-a Developer"). Triples form the structured claims layer of the knowledge graph.
  • Vaults — Economic signaling mechanisms powered by bonding curves. Users deposit or withdraw ETH into vaults associated with atoms or triples to express trust, agreement, or disagreement. Vault positions are on-chain and subject to market dynamics.

The Intuition protocol is intended to operate in a decentralized manner. Intuition has no ability to control, modify, prevent, stop, amend, or adjust interactions or transactions after they are submitted to the protocol, whether or not through the Service interface.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF OR INTERACTION WITH THE INTUITION PROTOCOL IS AT YOUR OWN RISK. INTUITION WAIVES ALL LIABILITY OR RESPONSIBILITY, AND MAKES NO WARRANTIES, RELATED TO THE PROTOCOL, WHETHER OR NOT THE PROTOCOL IS ACCESSED VIA THE SERVICE.

3. Blockchain Fees

Your full use and enjoyment of the Service may require you to pay gas fees required by the Base L2 network or by the Intuition protocol itself ("Blockchain Fees"). These fees are paid directly to the Base network and are outside the control of Intuition. You acknowledge that in no event will Intuition be responsible to you or any other party for the payment, repayment, refund, disbursement, indemnity, or for any other aspect of your use or transmission of Blockchain Fees.

4. Wallets

All on-chain transactions initiated through the Service require you to use a third-party digital wallet ("Wallet"). Your use of any Wallet is solely at your own risk. You agree that you authorize all transactions initiated by you or on your behalf through the Service in connection with your Wallet. We have no control over the Base blockchain and cannot and do not guarantee that any transaction details you submit or receive via the Service will be validated or confirmed on-chain.

Important: The private keys necessary to access the assets held in a Wallet are not held by Intuition. Intuition has no ability to help you access or recover your private keys and/or seed phrases for your Wallet. You are solely responsible for maintaining the confidentiality of your private keys and you are responsible for any transactions signed with your private keys.

5. Eligibility

To use the Service, you must be 18 years of age or older and not be a Prohibited Person.

A "Prohibited Person" is any person or entity that is (a) listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's list of Specially Designated Nationals and Blocked Persons maintained by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC") or the U.S. Department of Commerce Denied Person's List or Entity List; (b) located or organized in any U.S. embargoed countries or any country designated by the U.S. Government as a "terrorist supporting" country; or (c) otherwise subject to sanctions imposed by the United Nations, OFAC, the EU, or the UK.

By using the Service, you represent and warrant that you meet all of these requirements.

6. User Accounts

You are responsible for maintaining the confidentiality of your account credentials (including email, password, and any authentication methods) and for all activities that occur under your account. You are also solely responsible for the security of your connected Wallet and its private keys. You agree to notify us immediately at legal@intuition.systems of any unauthorized use of your account. Intuition will not be liable for any losses caused by unauthorized use of your account or Wallet.

7. Acceptable Use

You may not do any of the following, unless applicable laws or regulations prohibit these restrictions or you have our written permission:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Submit, transmit, display, or post content that is defamatory, obscene, threatening, abusive, inflammatory, harmful, hateful, or otherwise objectionable
  • Use the Service for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • Infringe upon the intellectual property rights, privacy rights, or other rights of third parties
  • Duplicate, decompile, reverse engineer, disassemble, or decode the Service or its underlying smart contracts for unauthorized purposes
  • Use automation software (bots), hacks, modifications, or other unauthorized third-party software to interact with the Service
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Service or its infrastructure
  • Create atoms or triples that are deliberately false or designed to mislead other users of the knowledge graph
  • Manipulate vault economics, bonding curve mechanics, or other on-chain signaling mechanisms in bad faith or in a manner designed to harm other users
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act through the knowledge graph

8. User-Generated Content and Intellectual Property

You retain ownership of the content you create through the Service, including the atoms, triples, and media you upload ("User Content"). By submitting User Content, you grant Intuition a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute your User Content solely to the extent necessary to provide and improve the Service.

You acknowledge that on-chain content — including atoms, triples, vault activity, and any other data written to the Base blockchain — is permanently public and immutable. Intuition may remove violating content from the Service interface but has no ability to remove or alter data that has been written to the blockchain. You accept full responsibility for all on-chain content you create.

You represent and warrant that you own or have the necessary rights to the content you submit, and that your content does not violate the rights of any third party.

9. Intuition's Intellectual Property

The Service, including its look and feel (e.g., text, graphics, images, logos, design), proprietary content, information, and other materials, is protected under copyright, trademark, and other intellectual property laws. Intuition and/or its licensors own all right, title, and interest in and to the Service. Subject to your compliance with these Terms, Intuition grants you a personal, worldwide, royalty-free, non-assignable, non-sublicensable, non-transferable, and non-exclusive license to use the Service for your own personal, non-commercial use.

10. Payment and Billing

The core Service is currently available without a direct subscription fee. Certain premium features may be offered in the future. All on-chain interactions (vault deposits, withdrawals, atom creation) require Blockchain Fees paid to the Base network, as described in Section 3.

11. Experimental and Beta Features

The Service includes experimental blockchain features, including but not limited to bonding curve mechanics, vault economics, on-chain knowledge graph classification, and attestation markets. These features are provided "as is." From time to time, we may include additional test or beta features ("Beta Offerings") as we may designate in our sole discretion. Your use of any Beta Offering is completely voluntary.

Beta Offerings and experimental features may contain errors, defects, bugs, or inaccuracies that could cause failures, corruption, or loss of data and information from any connected device or Wallet. Intuition assumes no liability for any loss or damage arising from your use of experimental or beta features.

12. On-Chain Immutability

All on-chain actions performed through the Service — including creating atoms and triples, depositing into or withdrawing from vaults, and any other interactions with the Intuition protocol — are final and irreversible once confirmed on the Base blockchain. Intuition cannot reverse, cancel, modify, or intervene in any blockchain transaction after it has been submitted. You accept full responsibility for reviewing all transaction details before submission and for all on-chain interactions you initiate.

13. Disclaimers and Limitation of Liability

Your access to and use of the Service are at your own risk. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. INTUITION DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the fullest extent permitted by applicable law, in no event will Intuition or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service. Without limiting the foregoing, Intuition is specifically not liable for:

  • Loss of funds, tokens, or digital assets from on-chain interactions
  • Wallet security breaches, lost private keys, or unauthorized transactions
  • Failures, delays, or errors of the Base blockchain network or other third-party infrastructure
  • Bugs, vulnerabilities, or exploits in smart contracts, including the Intuition protocol contracts
  • Market volatility or losses related to vault positions or bonding curve mechanics
  • Any loss resulting from your reliance on atoms, triples, or other user-generated content in the knowledge graph

14. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS

After an informal dispute resolution process, any remaining dispute, controversy, or claim relating in any way to the Service will be resolved by arbitration, including threshold questions of arbitrability. You and Intuition agree that any such claim will be settled by final and binding arbitration, using the English language, administered by JAMS under its Comprehensive Arbitration Rules and Procedures (available at www.jamsadr.com). Judgment on the arbitration award may be entered in any court having jurisdiction.

You and Intuition agree to bring any dispute in arbitration on an individual basis only. Neither you nor Intuition will participate in a class action, class arbitration, or representative action in connection with any dispute related to the Service. By agreeing to these Terms, you waive your right to participate in a class action or class arbitration.

To initiate the informal dispute resolution process, please contact us at legal@intuition.systems with a written description of your dispute. We will attempt to resolve the dispute informally within 30 days of receiving your notice before either party may initiate arbitration.

15. Termination

We may terminate or suspend your access to the Service at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. Termination of your account does not affect any on-chain data or transactions associated with your Wallet address — all on-chain content persists on the Base blockchain regardless of account status.

16. Governing Law

The governing law and jurisdiction for disputes are pending review by legal counsel. This section will be updated with the appropriate jurisdiction and choice-of-law provisions prior to final publication.

17. Privacy Policy

Our Privacy Policy describes how we handle the information you provide to us when you use the Service. Please review our Privacy Policy for details on our data practices. Our Privacy Policy is incorporated by reference into these Terms.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice via email or through the Service. Your continued access to or use of the Service after the modifications become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
